1. Acceptance
These Terms of Service (“Terms”) govern your access to and use of the Open Sesame visitor-management and access platform (the “Services”), operated by Southlake Technical, LLC(“Open Sesame,” “we,” “us,” or “our”). By creating an account, accepting an invitation, scanning a visitor QR, or otherwise using the Services, you agree to these Terms and to our Privacy Policy.
If you do not agree, you may not use the Services. If you are accepting these Terms on behalf of a property, employer, or other entity, you represent that you have authority to bind that entity.
2. Roles
The Services are used by three distinct populations, each subject to additional context-specific rules.
Residents
Individuals who live at a property where Open Sesame is installed. Residents can approve or deny visitor requests, issue temporary passes, and review access history for their own unit.
Visitors
Individuals arriving at a property who use the visitor web app to request entry, complete phone verification, and participate in a video session with the resident they intend to visit.
Property staff
Managers, admins, and other personnel of a property or management company who use the management console to administer resident accounts, access points, recordings, audit logs, and platform settings.
3. Account responsibilities
You are responsible for maintaining the confidentiality of your credentials and for any activity that occurs under your account. You agree to notify us immediately if you suspect your account has been accessed without authorization — Open Sesame supports remote device revocation so a lost or stolen device can be signed out everywhere.
You may not share an account between people, use a credential you are not personally authorized to use, or attempt to access another resident's data.
4. Acceptable use
You agree not to use the Services to:
- Gain unauthorized access to a property, unit, or another person's account.
- Issue, share, or accept temporary passes you know to be fraudulent, expired, or for a property you have no relationship with.
- Harass, threaten, impersonate, or record any visitor or resident through the Services in a manner that violates applicable wiretap, recording, or harassment laws in the relevant jurisdiction.
- Probe, scan, or test the vulnerability of the Services, or attempt to bypass authentication, rate limits, or access controls.
- Use the Services to operate a competing access-control or visitor-management product.
- Violate any law, contract, intellectual-property right, or other third-party right.
5. Recordings and audit
Visitor calls may be recorded with consent disclosure at the start of each session. Recordings are retained per the property policy disclosed in the resident dashboard. By participating in a visitor session, you acknowledge that the session may be recorded and that the recording may be reviewed by the resident you are visiting, by property staff with audit access, and by Open Sesame for the limited purposes described in our Privacy Policy.
Access events (unlocks, approvals, denials, pass redemptions) are written to a tamper-evident audit log retained for the minimum period required by law or by your property's contract, whichever is longer.
6. Property contracts
The Services are made available to a property under a separate commercial agreement between Open Sesame and that property or its management company (the “Property Agreement”). If you are a resident or visitor at such a property, your use of the Services is governed by these Terms; the commercial terms (pricing, term length, SLA) between Open Sesame and the property are not your responsibility and are not modified by these Terms.
If the Property Agreement terminates, resident and visitor access to that property through the Services will end. Account data will be handled per our retention practices in the Privacy Policy.
7. Termination
We may suspend or terminate your account if you violate these Terms, if your property's relationship with Open Sesame ends, or if we are required to do so by law. You may stop using the Services at any time; account deletion is available on request through your property administrator or by contacting us directly.
8. Disclaimers
The Services are provided “as is”and “as available”. To the maximum extent permitted by law, Open Sesame disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from a course of dealing or trade usage.
Open Sesame does not guarantee that the Services will be uninterrupted, error-free, or that any unlock command, push notification, video session, or pass redemption will be delivered in real time. Network, device, and provider conditions outside our control can affect any of these.
9. Limitation of liability
To the maximum extent permitted by law, in no event will Open Sesame, its affiliates, or its suppliers be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.
Our aggregate liability arising out of or related to the Services will not exceed the greater of (a) the amount you paid us for the Services in the twelve months preceding the event giving rise to the claim or (b) one hundred US dollars.
10. Governing law
These Terms are governed by the laws of the State of Illinois, USA, without regard to its conflict-of-laws principles. The state and federal courts located in Cook County, Illinois have exclusive jurisdiction over any dispute arising from these Terms or your use of the Services. You and Open Sesame each waive any right to a jury trial in any such dispute.
11. Changes
We may update these Terms from time to time. Material changes will be announced through the Services or by email to the address on file at least thirty days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. The current effective date is noted at the top of this page.
